1. Agreement to Terms
By accessing our website or subscribing to our services, you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you do not have permission to access our services.
2. Description of Services
Knight Digital Partners provides subscription-based technology partnership services including:
- Custom software development
- Low-code/no-code implementations (Monday.com, Make.com, Retool)
- AI workflow automation
- Systems integration
- Fractional CTO leadership (Partner tier)
- Technology strategy consulting
3. Subscription Plans
Build Tier ($10,000/month)
- 2 development sprints per month
- Bi-weekly strategy sessions
- Standard support response times
Partner Tier ($20,000/month)
- 4 development sprints per month
- Dedicated Fractional CTO leadership
- Weekly strategy sessions
- Priority SLA response
A "sprint" represents approximately one week of focused development work on prioritized features, integrations, or improvements.
4. Billing and Payment
- Billing Cycle: Subscriptions are billed monthly at the beginning of each billing period.
- Payment Method: Payment is processed via credit card through our payment processor, Stripe.
- Price Changes: We reserve the right to modify subscription prices with 30 days notice. Existing subscribers will be notified before any price changes take effect.
- Failed Payments: If a payment fails, we will attempt to charge your card again. After multiple failed attempts, your subscription may be suspended.
5. Cancellation Policy
- Cancellation Notice: You may cancel your subscription at any time with 30 days written notice.
- Access After Cancellation: You will retain access to services until the end of your current billing period.
- No Refunds: We do not provide refunds for partial months or unused services.
- Work in Progress: Upon cancellation, we will complete any work in progress within the current sprint and provide deliverables and documentation.
6. Tier Changes
You may upgrade or downgrade your subscription tier at any time. Changes take effect immediately, and the price difference will be prorated for the current billing period.
7. Sprint Allocation
- Sprints do not roll over from month to month.
- Unused sprint capacity expires at the end of each billing period.
- If you consistently do not use your sprint allocation, we will work with you to adjust your plan accordingly.
8. Intellectual Property
Work Product
Upon full payment, you own all intellectual property rights to custom code, designs, and deliverables created specifically for you during our engagement. This excludes:
- Pre-existing materials and frameworks we bring to the engagement
- General-purpose tools, libraries, or components that may be reused across clients
- Third-party software, APIs, and services
Our Materials
We retain ownership of our methodologies, processes, templates, and any pre-existing intellectual property.
9. Confidentiality
We will treat all information you share with us as confidential. We will not disclose your confidential information to third parties without your consent, except as required by law. This obligation survives termination of our engagement.
10. Client Responsibilities
To ensure successful delivery of our services, you agree to:
- Provide timely access to necessary systems, accounts, and information
- Designate a primary point of contact for communication
- Respond to requests and provide feedback within reasonable timeframes
- Participate in scheduled strategy sessions
- Ensure you have the rights to any materials you provide to us
11. Limitation of Liability
To the maximum extent permitted by law:
- Our total liability for any claims arising from our services shall not exceed the fees paid by you in the three months preceding the claim.
- We are not liable for indirect, incidental, special, consequential, or punitive damages.
- We are not liable for any loss of data, revenue, profits, or business opportunities.
12. Warranty Disclaimer
Our services are provided "as is" without warranties of any kind, either express or implied. We do not guarantee that our services will be uninterrupted, error-free, or meet your specific requirements. We warrant that services will be performed in a professional and workmanlike manner.
13. Indemnification
You agree to indemnify and hold harmless Knight Digital Partners from any claims, damages, or expenses arising from your use of our services, violation of these terms, or infringement of any third-party rights.
14. Acceptable Use
You agree not to use our services to:
- Violate any laws or regulations
- Infringe on intellectual property rights
- Transmit malicious code or harmful content
- Engage in fraudulent or deceptive practices
- Build systems that violate privacy laws or regulations
15. Termination
We reserve the right to suspend or terminate your access to our services immediately if you violate these terms, fail to pay fees when due, or engage in conduct that we determine is harmful to our business or other clients.
16. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Thailand. Any disputes arising from these terms or our services shall be resolved in the courts of Bangkok, Thailand.
17. Changes to Terms
We reserve the right to modify these terms at any time. We will provide notice of material changes via email or through our website. Continued use of our services after changes constitutes acceptance of the modified terms.
18. Severability
If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
19. Entire Agreement
These Terms, together with our Privacy Policy and any additional agreements entered into, constitute the entire agreement between you and Knight Digital Partners regarding our services.
